Experience

Beyond internal audit, Rick focuses on assisting companies with Foreign Corrupt Practices Act (FCPA) compliance, corporate investigations, third-party reviews and enterprise risk management. His representative engagements include the following:

  • Led post-acquisition due diligence and financial, fraud, and corruption risk assessments across five markets of a multibillion-dollar company, including Israel, Poland and Russia.
  • Led FCPA-related merger and acquisition due diligence associated with organizations with operations or officers based in emerging growth countries. These projects have included the execution of background checks, financial analytics, and the detailed analysis of books and records.
  • Provided third-party risk management advisory services to a multibillion-dollar company that has retained one of the largest commercial real estate strategy and services companies in the world. Rick designed and executed a compliance audit program across workstreams such as procurement, contracting, cost, payment applications, change orders, closeout, expense reimbursement, facilities management, move and space planning, and finance and accounting.
  • Directed anti-corruption program reviews in Brazil, Thailand, Turkey, India and Romania, including corruption risk assessments and detailed reviews of books and records. Rick guided teams in the performance of extensive transactional testing and internal control procedures for identified corruption risk areas, including business development, third-party due diligence, and/or supply chain and customs clearance. Additionally, he collaborated with management and outside counsel in the analysis and treatment of “red flag” events to ensure an effective risk response.
  • Served on the FCPA compliance and forensic team for the global investigation of a European consumer products conglomerate, leading the accounts payable, promotional expense, third-party management and intercompany assessment workstreams for two subsidiaries in the United States and Germany.
  • Directed internationally focused internal audits of operations in countries such as Israel, India and Japan, designed to ascertain compliance with corporate policies, identify risks of noncompliance with laws and regulations, and explore opportunities for enhanced communication and decision making.
  • Conducted assessment of FCPA risks for a large publisher and conglomerate. Rick developed FCPA program procedures and controls for use in foreign subsidiary finance and accounting departments.
  • Conducted third-party audits for purposes of cost recovery, identification of fraudulent billing, and improvement of related internal controls, deploying data analytics to evaluate large sets of transactional and master records.
  • Led the control environment workstream of due diligence efforts associated with client acquisition of a Spanish firm’s software business, requiring rapid deployment, execution and reporting of targeted procedures.
  • Served numerous organizations as enterprise risk management advisor, conducting risk assessments, developing programs to create greater risk awareness, and organizing cross-functional client teams to determine mitigation strategies. Developed key risk indicators for ongoing monitoring of risks across commercial, operational, financial, information technology, legal and human resources areas.
